Job Description
Jan Erik Jonescheit advises entrepreneurs on the sale and acquisition of companies—from the initial structuring considerations through to notarization. His focus is on the sale of medium-sized companies: He is familiar with the interests of sellers, understands the logic of M&A processes, and negotiates purchase agreements with the goal of crafting economically viable solutions that are legally sound.
As a specialist attorney in tax law, he considers the tax implications of transactions from the very beginning—from the choice of transaction structure and warranty provisions to the tax treatment of the purchase price. This gives clients a clear advantage: legal and tax transaction advice from a single source, without any coordination issues.
In the transaction process, he provides support in the following areas in particular:
- Negotiation and Drafting of M&A Agreements (Share Deal / Asset Deal)
- Drafting and Negotiating Retainer Agreements with M&A Advisors
- Tax Transaction Structuring and Purchase Price Determination
- Corporate Law Preparations and Reorganization Prior to the Sale
In addition, he advises growing companies on financing rounds, shareholder agreements, and corporate structuring—from incorporation through growth financing with mezzanine or venture capital.
